- If the referral has been done after the subscriber has paid for their premium listings, the referral discount in this case will be applied only at renewal. We do not provide any refund if at the renewal the subscribers fail to claim the referral discount, instead we will apply it at the next renewal using the same rules.
- Subscribers who start with a referral discount code will be entitled to use the same discount code every year if they don’t interrupt their subscription. For example if a subscriber get 50% referral discount approve, on their renewal every year, they can use the same discount code if they refer us another client.

Unacceptable content and video will be deleted and won’t be published.

For payment made online via your admin panel using the PayPal button your renewal will be made automatically unless you made the cancellation as explained in our cancellation policy. As result all contract will expire at the end of your chosen listings plan and package term and your listings will be removed from international marketing consulting ltd if you do not renew on time and if your renewal payment and signed contract arrive after your contract has expired. Upon receive your renewal payment and renewal signed contract your listings will be uploaded back and published back on International Marketing Consulting LTD IMC Marketplace for Africa.
If the initial listings contract has been set out by one of our agents ( Limited Companies ) still contracting with us not the sole traders agents , you must contact our agents ( Limited Companies ) to discuss renewal with them. If you cannot reach out our agents or if the renewal agreement has not been made with our agents within 30 days following your contract renewal date, please contact us by email at email@example.com to discuss your contract renewal directly with us. If you are not sure who to contact to discuss your renewal please get in touch with us and we will guide you or provide you within the procedure to follow for renewal or redirect you to the agents you need to contact for your renewal.
Renewal pricing and term
We do not guarantee to charge for the same price when you renew your contract with International Marketing Consulting LTD. Every year we will issue new pricing and renewal pricing for all the services and listings sold by International Marketing Consulting LTD, the customer will be informed of the pricing prior making the payment as the renewal offer and order form will be sent out in order for customers to proceed with the payment and return the renewal sign contract.
Regardless of the payment method chosen for the renewal, we won’t renew your contract unless we received the renewal payment and renewal sign contract.
After 60 days from the renewal date if the renewal has not been done, you will be considered as new customer and pricing for new customers will be applied to renew your contract.
It is your duty to make sure that you renew your contract on time by making note of the contract start date and renewal date and contact us or our partner at least 60 days in advance to discuss renewal and supply well in advance all the signed documents requested and payment. This will enable us to automatically renew your contract when the contract expire.
Please read below Right to cancel section from 54 to 61 section as this will be applied for our customers and clients renewing their contract with International Marketing Consulting LTD.

34. We will publish all the listings on international marketing consulting ltd directory and marketplace or deliver the services provide by us , to the Delivery Location by the time or within the agreed period or, failing any agreement: in the case of Services, within a reasonable time

In any case, regardless of events beyond our control, if we do not deliver the Services on time, you can require us to reduce the Fees or charges by an appropriate amount (including the right to receive a refund for anything already paid above the reduced amount). The amount of the reduction can, where appropriate, be up to the full amount of the Fees or charges.
36. In any case, regardless of events beyond our control, if we do not deliver the Goods on time, you can (in addition to any other remedies) treat the Contract at an end if:
a. we have refused to deliver the services, or if delivery on time is essential taking into account all the relevant circumstances at the time the Contract was made, or you said to us before the Contract was made that delivery on time was essential; or
b. after we have failed to deliver on time, you have specified a later period which is appropriate to the circumstances and we have not delivered within that period.
37. If you treat the Contract at an end, we will (in addition to other remedies) promptly return all payments made under the Contract.
38. If you were entitled to treat the Contract at an end, but do not do so, you are not prevented from cancelling the Order for any services or rejecting services that have been delivered and, if you do this, we will (in addition to other remedies) without delay return all payments made under the Contract for any such cancelled or rejected services.
Risk and Title
39. Risk of damage to, or loss of, any services will pass to you when the services are delivered to you.
40. You do not own the services until we have received payment in full. If full payment is overdue or a step occurs towards your bankruptcy, we can choose, by notice to cancel any delivery and end any right to use the services still owned by you, in which case you must return them or allow us to collect them.
41. We have a legal duty to supply the services in conformity with the Contract, and will not have conformed if it does not meet the following obligation.

In relation to the Services, anything we say or write to you, or anything someone else WITH A VALID IMC AGENT ID REFERENCE OR AGREEMENT PROVIDED BY INTERNATIONAL MARKETING CONSULTING says or writes to you on our behalf, about us or about OUR Services ONLY, is a term of the Contract (which we must comply with) if you take it into account when deciding to enter this Contract, or when making any decision about the Services after entering into this Contract. Anything you take into account is subject to anything that qualified it and was said or written to you by us or on behalf of us on the same occasion, and any change to it that has been expressly agreed between us (before entering this Contract or later).
Duration, termination and suspension
46. The Contract continues as described on the listings chosen plan and package and as long as it takes us to perform the Services. The contract length is either monthly or 12 months contracts depending on the listings plan and package.
47. Either you or we may terminate the Contract or suspend the Services at any time by a written notice of termination or suspension to the other if that other:
a. commits a serious breach, or series of breaches resulting in a serious breach, of the Contract and the breach either cannot be fixed or is not fixed within 30 days of the written notice; or
b. is subject to any step towards its bankruptcy or liquidation.
Within 14 days from the contract effective start date where the effective start date of the contract is the date we have received your payment and signed contract.
48. On termination of the Contract for any reason, any of our respective remaining rights and liabilities will not be affected.
Successors and our sub-contractors
49. Either party can transfer the benefit of this Contract to someone else, and will remain liable to the other for its obligations under the Contract. The Supplier will be liable for the acts of any sub-contractors who it chooses to help perform its duties.
Circumstances beyond the control of either party
50. In the event of any failure by a party because of something beyond its reasonable control:
a. the party will advise the other party as soon as reasonably practicable; and
b. the party’s obligations will be suspended so far as is reasonable, provided that that party will act reasonably, and the party will not be liable for any failure which it could not reasonably avoid, but this will not affect the Customer’s above rights relating to delivery (and the right to cancel below).
51. The Supplier does not exclude liability for: (i) any fraudulent act or omission; or (ii) death or personal injury caused by negligence or breach of the Supplier’s other legal obligations. Subject to this, we are not liable for (i) loss which was not reasonably foreseeable to both parties at the time when the Contract was made, or (ii) loss (eg loss of profit) to your business, trade, craft or profession which would not be suffered by a Consumer – because we believe you are not buying the Services and Goods wholly or mainly for your business, trade, craft or profession.
Governing law, jurisdiction and complaints
52. The Contract (including any non-contractual matters) is governed by the law of England and Wales.
53. Disputes can be submitted to the jurisdiction of the courts of England and Wales or, where the Customer lives in Scotland or Northern Ireland, in the courts of respectively Scotland or Northern Ireland.
54. We try to avoid any dispute, so we deal with complaints as follows: If a dispute occurs customers should contact us to find a solution. We will aim to respond with an appropriate solution within 14 days working days.
Withdrawal and cancellation
55. You can withdraw the Order by telling us before the Contract is made, if you simply wish to change your mind and without giving us a reason, and without incurring any liability.
56. This is a (as defined below) which has the cancellation rights () set out below. These Cancellation Rights, however, do not apply, to a contract for the following services (with no others) in the following circumstances:
a. services that are made to your specifications or are clearly personalised;
Right to cancel
57. Subject as stated in these Terms and Conditions, you can cancel this contract without giving any reason within 14 days from the contract effective date which the date where your payment has been received by International Marketing Consulting LTD.
58. The cancellation period will expire after 14 days from the day on which you acquire or from the contract effective date which is the date the payment toward your chosen listing plan and package has been received by International Marketing Consulting LTD, the cancellation period will expire 14 days from the day the Contract was entered into and therefore the contract will be carried out until the end of your chosen listings plan and package and your listings profile will remained published on International Marketing Consulting LTD market place and directory until the contract expiring date.
59. To exercise the right to cancel, you must inform us of your decision to cancel this Contract by a clear statement setting out your decision (eg a letter sent by post, fax or email). In any event, you must be able to show clear evidence of when the cancellation was made.
60. To meet the cancellation deadline, it is sufficient for you to send your communication concerning your exercise of the right to cancel before the cancellation period has expired.
Effects of cancellation in the cancellation period
61. Except as set out below, if you cancel this Contract, we will reimburse to you the prorate payment received from you. Please note that the prorate refund will be made from the date we have received your cancellation request by writing. Your listings will be removed from the website within 72 business hours upon receive a cancellation confirmation from International Marketing Consulting LTD. We won’t reimburse the application processing fee of £50 included in the tariff as indicated on the pricing table on the website.
£50 application processing fee is included of the tariff of any listings or services sold by International Marketing Consulting LTD and this is non-refundable.
FOR MONTHLY OR ANNUAL PAYMENT MADE ONLINE VIA PAYPAL TO SUBSCRIBE FOR THE MONTHLY OR ANNUAL PREMIUM LISTINGS SUBSCRIPTION YOU CAN CANCEL THE RECURRING PAYMENT FROM YOUR PAYPAL ACCOUNT AT ANY TIME IF YOU DON’T WANT TO RENW YOUR SUBSCRIPTION. PLEASE NOTE THAT FOR PAYMENT MADE ONLINE TO SUBSCRIBE FOR THE PREMIUM LISTINGS YOUR SUBSCRIPTION WILL RENEW AUTOMATICALLY EVERY MONTH OR ANNUALLY DEPENDING ON THE LISTINGS PLAN YOU HAVE SELECTED.
ANY PAYMENT MADE OFFLINE WILL BE RENEWED AS EXPLAINED IN OTHER SECTIONS OF THIS TERMS AND CONDITIONS.
After making the payment to subscribe online for a monthly or an annual premium subscription or when your subscription renew every month or every year , you will automatically receive a receipt sent by PayPal after a successful transaction.
Please note that it may take up to 1 week for your premium listings to go down after you cancel , as result any time will take to activate your subscription will be compensated with extended days up to 1 week when you cancel.
Payment for Services commenced during the cancellation period
62. Where a service is supplied (being part of the Service) before the end of the cancellation period in response to your express request to do so, you must pay an amount for the supply of the service for the period for which it is supplied, ending with the time when we are informed of your decision to cancel the Contract. This amount is in proportion to what has been supplied in comparison with the full coverage of the Contract. This amount is to be calculated on the basis of the total price agreed in the Contract or, if the total price were to be excessive, on the basis of the market value of the service that has been supplied, calculated by comparing prices for equivalent services supplied by other traders. You will bear no cost for supply of that service, in full or in part, in this cancellation period if that service is not supplied in response to such a request.
Timing of reimbursement
63. When a refund is due we will make the reimbursement without undue delay, and not later than:
a. 14 days after we send you the cancellation and refund confirmation.
(if earlier) 14 days after the day you provide evidence that you have sent us a written cancellation request.
64. We will make the reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of the reimbursement.

TERMS AND CONDITIONS FOR SERVICES
Application and entire agreement
1. These Terms and Conditions apply to the provision of the services detailed in our quotation () by International Marketing Consulting LTD a company registered in England and Wales under number 09526726 whose registered office is at 80 – 83 Long Lane, London, EC1A 9ET ( or ) to the person buying the services ().
2. You are deemed to have accepted these Terms and Conditions when you accept our quotation or from the date of any performance of the Services (whichever happens earlier) and these Terms and Conditions and our quotation () are the entire agreement between us.
3. You acknowledge that you have not relied on any statement, promise or representation made or given by or on our behalf. These Conditions apply to the Contract to the exclusion of any other terms that you try to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.
4. A “business day” means any day other than a Saturday, Sunday or bank holiday.
5. The headings in these Terms and Conditions are for convenience only and do not affect their interpretation.
6. Words imparting the singular number shall include the plural and vice-versa.
7. We warrant that we will use reasonable care and skill in our performance of the Services which will comply with the quotation, including any specification in all material respects. We can make any changes to the Services which are necessary to comply with any applicable law or safety requirement, and we will notify you if this is necessary.
8. We will use our reasonable endeavours to complete the performance of the Services within the time agreed or as set out in the quotation; however, time shall not be of the essence in the performance of our obligations.
9. All of these Terms and Conditions apply to the supply of any goods as well as Services unless we specify otherwise.
10. You must obtain any permissions, consents, licences or otherwise that we need and must give us with access to any and all relevant information, materials, properties and any other matters which we need to provide the Services.
11. If you do not comply with clause 10, we can terminate the Services.
12. We are not liable for any delay or failure to provide the Services if this is caused by your failure to comply with the provisions of this section ().
Fees and Deposit
13. The fees () for the Services are set out in the quotation and are on a time and materials basis.
14. In addition to the Fees, we can recover from you a) reasonable incidental expenses including, but not limited to, travelling expenses, hotel costs, subsistence and any associated expenses, b) the cost of services provided by third parties and required by us for the performance of the Services, and c) the cost of any materials required for the provision of the Services.
15. You must pay us for any additional services provided by us that are not specified in the quotation in accordance with our then current, applicable hourly , daily , monthly or annual rate in effect at the time of performance or such other rate as may be agreed between us. The provisions of clause 14 also apply to these additional services.
16. The Fees are exclusive of any applicable VAT and other taxes or levies which are imposed or charged by any competent authority.
17. You must pay a deposit (“Deposit”) as detailed in the quotation at the time of accepting the quotation.
18. If you do not pay the Deposit to us according to the clause above, we can either withhold provision of the Services until the Deposit is received or can terminate under the clause below ().
19. The Deposit is non-refundable unless we fail to provide the Services and are at fault for such failure (where the failure is not our fault, no refund will be made).
Cancellation and amendment
20. We can withdraw, cancel or amend a quotation if it has not been accepted by you, or if the Services have not started, within a period of 14 days from the date of the quotation, (unless the quotation has been withdrawn).
21. Either we or you can cancel an order for any reason prior to your acceptance (or rejection) of the quotation.
22. If you want to amend any details of the Services you must tell us in writing as soon as possible. We will use reasonable endeavours to make any required changes and additional costs will be included in the Fees and invoiced to you.
23. If, due to circumstances beyond our control, including those set out in the clause below (), we have to make any change in the Services or how they are provided, we will notify you immediately. We will use reasonable endeavours to keep any such changes to a minimum.
24. We will invoice you for payment of the Fees either:
a. when we have completed the Services; or
b. on the invoice dates set out in the quotation.
25. You must pay the Fees due within 30 days of the date of our invoice or otherwise in accordance with any credit terms agreed between us.
26. Time for payment shall be of the essence of the Contract.
27. Without limiting any other right or remedy we have for statutory interest, if you do not pay within the period set out above, we will charge you interest at the rate of 5% per annum above the base lending rate of the Bank of England from time to time on the amount outstanding until payment is received in full.
28. All payments due under these Terms and Conditions must be made in full without any deduction or withholding except as required by law and neither of us can assert any credit, set-off or counterclaim against the other in order to justify withholding payment of any such amount in whole or in part.
29. If you do not pay within the period set out above, we can suspend any further provision of the Services and cancel any future services which have been ordered by, or otherwise arranged with, you.
30. Receipts for payment will be issued by us only at your request.
31. All payments must be made in British Pounds unless otherwise agreed in writing between us.
Sub-Contracting and assignment
32. We can at any time assign, transfer, charge, subcontract or deal in any other manner with all or any of our rights under these Terms and Conditions and can subcontract or delegate in any manner any or all of our obligations to any third party.
33. You must not, without our prior written consent, assign, transfer, charge, subcontract or deal in any other manner with all or any of your rights or obligations under these Terms and Conditions.
34. We can terminate the provision of the Services immediately if you:
a. commit a material breach of your obligations under these Terms and Conditions; or
b. fail to make pay any amount due under the Contract on the due date for payment; or
c. are or become or, in our reasonable opinion, are about to become, the subject of a bankruptcy order or take advantage of any other statutory provision for the relief of insolvent debtor; or
d. enter into a voluntary arrangement under Part 1 of the Insolvency Act 1986, or any other scheme or arrangement is made with its creditors; or
e. convene any meeting of your creditors, enter into voluntary or compulsory liquidation, have a receiver, manager, administrator or administrative receiver appointed in respect of your assets or undertakings or any part of them, any documents are filed with the court for the appointment of an administrator in respect of you, notice of intention to appoint an administrator is given by you or any of your directors or by a qualifying floating charge holder (as defined in para. 14 of Schedule B1 of the Insolvency Act 1986), a resolution is passed or petition presented to any court for your winding up or for the granting of an administration order in respect of you, or any proceedings are commenced relating to your insolvency or possible insolvency.
35. We reserve all copyright and any other intellectual property rights which may subsist in any goods supplied in connection with the provision of the Services. We reserve the right to take any appropriate action to restrain or prevent the infringement of such intellectual property rights.
Liability and indemnity
36. Our liability under these Terms and Conditions, and in breach of statutory duty, and in tort or misrepresentation or otherwise, shall be limited as set out in this clause.
37. The total amount of our liability is limited to the total amount of Fees payable by you under the Contract.
38. We are not liable (whether caused by our employees, agents or otherwise) in connection with our provision of the Services or the performance of any of our other obligations under these Terms and Conditions or the quotation for:
a. any indirect, special or consequential loss, damage, costs, or expenses or;
b. any loss of profits; loss of anticipated profits; loss of business; loss of data; loss of reputation or goodwill; business interruption; or, other third party claims; or
c. any failure to perform any of our obligations if such delay or failure is due to any cause beyond our reasonable control; or
d. any losses caused directly or indirectly by any failure or your breach in relation to your obligations; or
e. any losses arising directly or indirectly from the choice of Services and how they will meet your requirements or your use of the Services or any goods supplied in connection with the Services.
39. You must indemnify us against all damages, costs, claims and expenses suffered by us arising from any loss or damage to any equipment (including that belonging to third parties) caused by you or your agents or employees.
40. Nothing in these Terms and Conditions shall limit or exclude our liability for death or personal injury caused by our negligence, or for any fraudulent misrepresentation, or for any other matters for which it would be unlawful to exclude or limit liability.
Circumstances beyond a party’s control
41. Neither of us is liable for any failure or delay in performing our obligations where such failure or delay results from any cause that is beyond the reasonable control of that party. Such causes include, but are not limited to: power failure, Internet Service Provider failure, industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action or any other event that is beyond the control of the party in question. If the delay continues for a period of 90 days, either of us may terminate or cancel the Services to be carried out under these Terms and Conditions.
42. All notices under these Terms and Conditions must be in writing and signed by, or on behalf of, the party giving notice (or a duly authorised officer of that party).
43. Notices shall be deemed to have been duly given:
a. when delivered, if delivered by courier or other messenger (including registered mail) during the normal business hours of the recipient;
b. when sent, if transmitted by fax or email and a successful transmission report or return receipt is generated;
c. on the fifth business day following mailing, if mailed by national ordinary mail; or
d. on the tenth business day following mailing, if mailed by airmail.
