General Provisions

You may not transfer any of your rights under these terms to any other person. These terms may be varied by us from time to time and revised terms will apply to the website from the date of publication. These terms together with the Privacy Policy and Cookies Policy contain the whole agreement between the parties relating to its subject matter. The Contracts (Rights of Third Parties) Act 1999 shall not apply to these terms and no third party will have any right to enforce or rely on any provision of these terms. If any provision is found invalid or unenforceable it will be deemed deleted and the remaining provisions will continue in full force.

Digital Product Licence
Ownership

All templates, automation configurations and associated documentation sold by International Marketing Consulting LTD are the intellectual property of Alberte Touani and International Marketing Consulting LTD. Purchase of a digital product does not transfer ownership of any intellectual property.

Single-Use Licence

By purchasing a digital product you are granted a single-use, non-transferable licence to use the product within your own business only. This licence is personal to you and the business entity stated at the time of purchase.

Restrictions

You may not share, distribute, resell, sublicense or transfer any part of our digital products or their contents to any third party without our prior written consent. This includes but is not limited to:

Sharing with individuals outside your organisation
Publishing or making available for download publicly
Reproducing or adapting the content for commercial distribution
Reselling or repackaging to clients or third parties
Agency and Consultant Use

If you are a marketing agency, consultant, freelancer or service provider, your licence covers internal use within your own business only. You may not use our digital products to service your clients without purchasing a separate licence for each client. Each client implementation requires its own purchase.

If you are an agency or consultant purchasing on behalf of a client, please contact us before purchasing so we can discuss the appropriate licensing arrangement.

Delivery

Digital products are delivered by email within 72 business hours of payment being received. Delivery times may vary depending on the level of customisation required to align the product with your business setup. You will be notified by email once your product is ready.

Additional Costs

The purchase price covers the digital product only. You will be responsible for any third-party subscription fees, tool hosting costs and usage fees required to operate the product. The cost to run any associated automation will depend on the volume of records processed and your chosen subscription plan with the relevant tool providers. These costs are separate and billed directly by the tool providers.

Free Resources

Guides available to download from our website and gated landing pages are provided free of charge for personal and professional use. By downloading a guide you agree to provide accurate information via our opt-in form and consent to receive relevant communications from International Marketing Consulting LTD.

Featured Listings

Tool providers who purchase a featured listing in our CRM Operations and Automation Tools Guide agree to supply their own artwork, case study and associated content as specified in our media kit. International Marketing Consulting LTD reserves the right to review and approve all submitted content before publication.

Sponsorship

Sponsorship packages are offered on a monthly basis. Sponsorship provides logo placement on our gated download page and promotion across our platforms to our audience. International Marketing Consulting LTD does not guarantee specific traffic, download or conversion figures as part of any sponsorship arrangement.

Cancellation of Sponsorship or Featured Listings

Featured listings and sponsorship arrangements may be cancelled by either party with 30 days written notice. International Marketing Consulting LTD reserves the right to remove any listing or sponsored content immediately and without notice if the content is found to be inaccurate, misleading or in breach of these terms.

Co-marketing Campaigns

Co-marketing campaigns are subject to separate written agreements confirming scope, deliverables, timelines and pricing. These terms apply in addition to any co-marketing agreement unless otherwise specified in writing.

Part E — CRM Implementation and Marketing Services

CRM Implementation and Marketing Services
Service Agreement

By engaging International Marketing Consulting LTD for CRM implementation or marketing services, the Client agrees to these terms. Services will be delivered as outlined in the signed Statement of Work or agreed quote. Any work beyond the agreed scope will be quoted separately.

Payment Terms

Payment terms vary depending on the type of engagement:

One-off implementation projects: 50% deposit required to commence work, 50% due on project completion. Payments are non-refundable once work commences.
Day rate projects: Charged at the agreed daily rate as per the Statement of Work. Invoiced upon completion and payment due as per the invoice date.
Monthly retainer: Paid one month in advance and cancelled with 30 days written notice.
Client Responsibilities

The Client agrees to provide timely access to required systems and platforms, information and approvals as outlined in the Statement of Work, approval of deliverables within 5 business days, and payment of all third-party tool costs.

Timeline

Project timelines are as specified in the Statement of Work. Delays caused by client non-responsiveness or third-party dependencies may extend the agreed timeline.

Third-Party Tools and Costs

The Client is responsible for all third-party tool subscriptions, licences, costs, API fees, credits, usage costs and platform licences. International Marketing Consulting LTD is not responsible for third-party pricing changes, service interruptions or technical issues.

Development and Custom Coding

International Marketing Consulting LTD provides CRM configuration, automation setup and integration services. We do not provide custom code development, custom API development or developer-level programming. If custom development is required, the Client is responsible for assigning a developer. We will provide guidance and collaborate with the Client's developer as needed.

Intellectual Property

Workflows, automations and configurations built for the Client remain the Client's property. International Marketing Consulting LTD retains rights to our methodology, templates and processes. Our proprietary methodology and processes used to deliver services are licensed solely for the Client's internal use and may not be copied, shared, sublicensed or redistributed without prior written consent.

Liability

International Marketing Consulting LTD's liability is limited to the fees paid for the specific service. We are not liable for third-party tool failures or service interruptions, data loss from client systems, revenue loss or business interruption, or issues caused by custom code or developer work.

Data and Privacy

International Marketing Consulting LTD complies with UK GDPR. Client data is used solely for service delivery and deleted upon request after project completion.

Cancellation

Before work commences: Full refund minus a 10% administration fee. After work commences: No refunds. The Client receives all work completed to date.

Part F — 1-2-1 Consulting Services

1-2-1 Consulting Services
Scope

1-2-1 consulting sessions are provided as advisory services only. The scope, format, duration and objectives of each session will be agreed in advance. Consulting sessions do not include implementation, development or hands-on technical work unless separately agreed and confirmed in writing.

Payment

Consulting sessions are paid in advance at the agreed rate. Payment confirms your booking and is non-refundable unless cancelled with a minimum of 48 hours notice prior to the scheduled session. Sessions cancelled with less than 48 hours notice will be charged in full.

Rescheduling

Sessions may be rescheduled with a minimum of 48 hours notice at no additional cost. Rescheduling requests made within 48 hours of the session will be accommodated where possible but are not guaranteed.

Advice and Outcomes

Advice and recommendations provided during consulting sessions are based on the information available at the time and reflect our professional opinion. International Marketing Consulting LTD does not guarantee specific outcomes or results from consulting sessions. The Client is responsible for implementing any recommendations provided.

Confidentiality

Both parties agree to treat all information shared during consulting sessions as confidential and not to disclose it to third parties without prior written consent.

Part G — Contractor Engagements

Working as an Independent Contractor
Contractor Terms

When International Marketing Consulting LTD is engaged as an independent contractor on CRM or technology projects, the terms and conditions governing that engagement will be those set out in the contractor agreement or contract provided by the engaging company. The terms of that contract will take precedence over these general terms for the duration of the contractor engagement.

Scope of Engagement

The scope, deliverables, rate, timeline and any intellectual property arrangements will be as defined in the contractor agreement. Any matters not covered by the contractor agreement will be governed by these terms.

Independence

International Marketing Consulting LTD operates as an independent contractor at all times and is not an employee of any engaging company. Nothing in any contractor engagement creates an employment relationship, partnership or joint venture between the parties.

Part H — Partnerships

Partnership Arrangements
Partnership Terms

Where International Marketing Consulting LTD enters into a formal partnership arrangement with another business or individual, the terms and conditions governing that partnership will be those set out in the partnership agreement signed by both parties. The terms of the partnership agreement will take precedence over these general terms for matters covered by that agreement.

No Implied Partnership

Nothing in these general terms or in any referral, affiliate or commercial arrangement creates a formal partnership, joint venture or agency relationship between International Marketing Consulting LTD and any third party unless expressly confirmed in a signed partnership agreement.

Part I — Referrals

General Referrals
Referral Incentive

Referral fees are as stated in the communication you received from International Marketing Consulting LTD. Always verify with us before submitting a referral to confirm the current incentive and whether it remains valid.

Eligibility

The referral must be a new client not already in contact with International Marketing Consulting LTD or currently in discussions with us or other HubSpot partners, unless approved by us in advance.

Payment

Referral fees are paid within 30 days of International Marketing Consulting LTD receiving payment from the referred client. No payment is made for Free or Starter tier HubSpot purchases, existing clients, declined referrals or implementation-only engagements.

Our Rights

International Marketing Consulting LTD reserves the right to decline any referral and is under no obligation to accept, engage with or provide reasons for declining any referral submission.

Referrals to Third-Party Service Providers
Third-Party Referrals

International Marketing Consulting LTD may refer clients to trusted third-party companies, agencies and CRM experts to deliver projects, technical services or implementations. We will always seek your consent before sharing your information with any third party.

Independent Contractors

Third-party providers operate independently from International Marketing Consulting LTD. Any contracts, agreements or arrangements you enter into are directly between you and the third-party provider. We are not a party to these contracts.

Your Responsibility

You are responsible for reviewing all contracts provided by third-party providers, conducting your own due diligence on the provider's suitability, and negotiating pricing, scope and deliverables directly with the provider. International Marketing Consulting LTD makes no guarantees regarding third-party contracts, pricing or service quality.

Limitation of Liability

International Marketing Consulting LTD is not liable for services delivered or not delivered by third-party providers, contract disputes between you and third-party providers, or financial losses resulting from third-party engagements. Our role is limited to making introductions to suitable providers and facilitating initial discussions.

No Endorsement

Referrals to third-party providers do not constitute an endorsement, guarantee or warranty of their services. You engage with third parties at your own risk.

Referral Partners

If you have a signed Referral Partnership Agreement with International Marketing Consulting LTD, the terms and conditions outlined in that agreement apply to all your referrals and take precedence over these general referral terms. Part J — Special Offers and Free Services

Special Offers, Discounts and Free Services
Availability of Offers

Our special offers, discounts and free or discounted services are subject to change or withdrawal at any time without prior notice. These offers are provided at our discretion and are not guaranteed to continue indefinitely.

Purpose of Offers

These offers are part of our efforts to build a portfolio of case studies and success stories showcasing our services. Clients who take advantage of these offers agree to participate in creating a case study or success story with us.

Client Agreement to Case Studies

By accepting free or discounted services, clients expressly agree to collaborate with us in producing a case study or success story. This may include providing details about their experience, results achieved and relevant insights into their engagement with us.

Publication

Case studies and success stories will be published on our website and marketing materials once we are ready to do so. We will notify the client before publication and ensure all information is accurate and representative of their experience.

Data and Privacy Compliance

We are committed to protecting clients' privacy and ensuring compliance with UK data protection laws. Any personal or sensitive information included in case studies will be handled in accordance with our Privacy Policy and applicable legal requirements.

Digital Products — Cancellation Window

We offer a 48-hour cancellation window from the time of purchase. If you change your mind within 48 hours of payment and your digital product has not yet been delivered, you may request a full refund by contacting us at info@imarketing-consulting.co.uk with your order details.

Digital Products — No Refunds After Delivery

Once your digital product has been delivered, we are unable to offer a refund under any circumstances. This is because our digital products contain proprietary processes, automation settings, configurations and intellectual property that are disclosed as part of the delivery. Once this information has been shared we cannot reverse the transaction.

By completing your purchase you acknowledge that you understand and accept this policy. If you have any questions about a product before purchasing please contact us before completing payment.

How to Request a Cancellation

To request a cancellation within the 48-hour window, please email info@imarketing-consulting.co.uk with your full name, order reference and date of purchase. Refunds will be processed within 5 to 10 business days depending on your payment provider.

Setup Service

Our optional setup service is bespoke and work begins upon confirmation of your requirements. Cancellations are accepted within 48 hours of payment provided work has not yet commenced. Once work has begun, no refund will be issued. Any work completed up to the point of cancellation will be invoiced at the agreed rate.

CRM Implementation and Marketing Services

Consulting sessions cancelled with a minimum of 48 hours notice will receive a full refund. Sessions cancelled with less than 48 hours notice will be charged in full. Sessions may be rescheduled with a minimum of 48 hours notice at no additional cost.

Sponsorship and Media Kit Services

Payments made for sponsorship packages and featured listings are non-refundable once the listing has been published or the sponsorship period has commenced. Cancellations must be submitted in writing with a minimum of 30 days notice as outlined in Part D of these terms.
